Welcome to SilkBliss. These Terms of Use ("Terms") govern your access to and use of the silkbliss.com website (the "Website"), as well as your application for and participation in exclusive events organized by Clear Investments OÜ ("SilkBliss", "we", "us", or "our").

By accessing the Website, submitting a place request, or participating in our events, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our services or participate in our events.

1. Key Definitions

• "Services": Includes the Website, the information provided therein, the place request process, and the organization and execution of SilkBliss events.
• "User", "You", "Participant": Any person who accesses the Website, requests a place, or participates in a SilkBliss event.
• "Event": Any of the exclusive experiences organized by SilkBliss.
• "Content": All text, graphics, images, music, software, audio, video, information, or other materials available on or through the Services.

2. Eligibility and Application Process

• Age Requirements:

  You must be at least 18 years of age to request a place and participate in our Events. By submitting an application, you represent and warrant that you meet this age requirement.

• Selection Process:

  SilkBliss organizes exclusive events with a limited number of places. All applications are subject to a selection and verification process at our sole discretion. The aim is to ensure harmony, safety, and compatibility of participants to create the best possible experience.

  Submitting an application does not guarantee acceptance or participation in an Event. We reserve the right to accept or reject any application without needing to provide a justification.

• Truthful Information:

  You agree to provide accurate, current, and complete information during the application process. Providing false or misleading information may result in the rejection of your application or expulsion from an Event without refund.

• Application Confidentiality:

  We will treat your application information with the utmost confidentiality, in accordance with our Privacy Policy.

3. Code of Conduct at Events

• Consent and Mutual Respect:

  The fundamental pillar of SilkBliss Events is enthusiastic, explicit, and ongoing consent in all interactions. "No" means "no," and the absence of a clear "yes" is also a "no." Respect for personal boundaries, privacy, and the decisions of other participants is mandatory.

  Any form of harassment, coercion, disrespectful, discriminatory, or non-consensual behavior will result in immediate expulsion from the Event without refund and a possible ban from future events.

• Confidentiality and Discretion:

  The privacy of all participants is paramount. It is strictly forbidden to take photographs, record videos, or audio of other participants without their explicit prior consent. Sharing any personal information or details about other participants outside the Event without their permission is prohibited.

• Compliance with Event Rules:

  You agree to follow all specific instructions and rules provided by SilkBliss organizers before and during the Event. This includes, but is not limited to, schedules, dress codes (if any), and guidelines on the use of facilities.

• Health and Safety:

  You must inform organizers of any relevant pre-existing medical conditions that may affect your participation or the safety of others. You agree to act responsibly regarding your health and that of others, including honesty about your sexual health status if pertinent to interactions.

• Substance Use:

  Alcohol consumption must be responsible. The use of illegal drugs is strictly prohibited at SilkBliss Events. Failure to comply with this rule will result in immediate expulsion.

4. Payments, Cancellations, and Refunds

• Fees and Payment:

  Fees for participating in Events are detailed in the pricing section of the Website. A reservation payment is required to confirm your application, and full payment must be made within the specified timeframe after your place is accepted.

• Participant Cancellation Policy:

  Our cancellation policy is as follows (these are examples, adapt them):

  • Cancellations made less than 29 days before the Event or no-shows: No refunds will be issued.
  • The initial reservation fee may be non-refundable in certain cases, which will be clearly indicated.

  Cancellation requests must be submitted in writing via our contact form.

• Event Cancellation or Modification by SilkBliss:

  We reserve the right to cancel or modify an Event due to unforeseen circumstances or force majeure (including, but not limited to, government restrictions, natural disasters, low enrollment). In the event of cancellation by us, we will offer a full refund of payments received for the canceled Event or the option to transfer the payment to a future event, at our discretion.

  We will not be liable for other expenses incurred by participants (e.g., flights, additional accommodation not included).

• Reservation Refund:

  As indicated in the application process, the reservation amount will be held until the application is accepted or rejected. If rejected, it will be refunded in full. If accepted, it will be considered part of the total event payment.

5. Intellectual Property

• Our Content:

  The Website and its original Content, features, and functionality are and will remain the exclusive property of Clear Investments OÜ and its licensors. Our copyrights, trademarks, and other intellectual property rights are protected by Estonian and international laws. Our Content may not be used in connection with any product or service without the prior written consent of Clear Investments OÜ.

• User Content:

  If you provide us with any material (such as photographs for your application or testimonials, with your explicit permission for their use), you retain all your rights to such content, but you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the provision of the Services and for the promotion of SilkBliss (e.g., anonymous testimonials or images with consent), always in accordance with our Privacy Policy and your specific consents.

6. Acceptable Use of the Website

You agree not to use the Website for any purpose that is unlawful or prohibited by these Terms, including:

• In any way that violates any applicable local, national, or international law or regulation.
• To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation (spam).
• To impersonate or attempt to impersonate SilkBliss, a SilkBliss employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm SilkBliss or users of the Website or expose them to liability.
• To introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.

7. Disclaimer of Warranties

THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, CLEAR INVESTMENTS OÜ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

You participate in SilkBliss Events at your own risk. While we take reasonable steps to create a safe environment, we cannot guarantee the complete absence of risks inherent in social interactions and physical activities.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLEAR INVESTMENTS OÜ, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES OR PARTICIPATION IN EVENTS; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES OR AT EVENTS; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES OR EVENTS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SPECIFIC EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Clear Investments OÜ and its licensors, and their respective directors, officers, employees, contractors, agents, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Website's Content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Website or your conduct at Events.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the competent courts of Harju Maakohus (Harju County Court) in Tallinn, Estonia. You hereby consent to personal jurisdiction and venue in such courts.

11. Changes to Terms of Use

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.

12. Severability and Waiver

• Severability:

  If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

• Waiver:

  No waiver by Clear Investments OÜ of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Clear Investments OÜ to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Clear Investments OÜ with respect to the Services and Events and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services and Events.
